Start a German Gmbh Company

What is a German company?
 

GmbH is an abbreviation of Gesellschaftmitbeschränkter Haftung, also known as limited liability company (LLC). Most international investors choose this entity to conduct business in Germany. Like all other company types in Germany, German GmbH must be listed in the commercial registry to start operations.

The minimum legal share capital of a German limited liability company
 

You must deposit at least 25,000 euros in cash or other assets to establish a German limited company. The capital is divided into non-transferable stocks, which cannot be registered in the stock exchange. In addition, each member of the GmbH must provide not less than 100 euros to obtain a nominal value share.

Shareholder requirements
 

The establishment of a German limited company requires at least one shareholder. Shareholders should assume the company ’s debts and obligations, but they should be limited to their capital contributions to the physical capital.

Management structure of the German limited company
 

The German limited liability company / limited company is managed by its directors. They have the right to handle all business matters on behalf of the entity. The shareholders appoint a managing director. Any shareholder can perform the duties of director at the same time.

Verification German GmbH
 

All limited liability companies (GmbH) in Germany must keep financial records. The record must contain complete information about the business transaction. A limited liability company is also obliged to submit financial statements annually, accompanied by a balance sheet and income statement.

Other requirements


German companies must have a name that contains their business form. In this case, all names should end in GmbH. The name of a limited liability company may but need not contain detailed information about the company ’s shareholders or activities. The requirement is that it does not belong to any other company.
